Overview

In commercial transactions, the ability to critically assess the range of structuring alternatives and advise on the most appropriate option for the client is a skill that differentiates a competent lawyer from an exceptional and highly valued one. In this subject, each element of a commercial transaction is deconstructed and discussed. It is the exceptional transactional lawyer that is able to advise the client on each of these structural elements.

Specifically the subject will:

  • analyse the critical components of a range of typical commercial transaction structures
  • discuss the legal and commercial effect of each of the structuring alternatives, and
  • provide foundations for advanced and integrated understandings of the subject.

Through familiarity with the logic underpinning the available options, confidence in assessing the most appropriate structure in a particular factual circumstance will result.


Outline

At the end of this subject students will be able to:

  • Describe the role of the transactional lawyer
  • Identify ways in which the transactional lawyer can add value to the transaction
  • Identify and explain the critical aspects, advantages and disadvantages of the different types of entities that can be used in a financial transaction
  • Assess the range of structuring options available
  • Identify and advise the client on issues that can arise in selecting an appropriate entity and structure describe alternative financing structures, including the advantages and disadvantages of each structure, and advise the client on issues that can arise from each financing option
  • Identify the elements of typical transactions, and advise clients on the legal effect and the commercial rationale for each element
  • Identify legal issues in commercial transactions where a legal opinion may be required
  • Plan, document and deliver transactions in an effective, efficient and ethical manner
  • Manage the transaction process, including signing and closing
  • Demonstrate an integrated understanding of the subject
  • Explain the subject to specialised and non-specialised audiences
  • Apply your understanding to critically analyse, evaluate, and improve your own professional practice, and
  • Identify opportunities to develop your expertise, autonomy, adaptability and specialised knowledge and skills for professional practice and learning.

To make an application online, please note you will need the following documentation ready to upload:

  1. A copy of your Academic Transcript  
  2. A passport-sized current colour photo (does not need to be an official passport photo)
  3. If you are not an Australian citizen, evidence of your status  

You will also need to have the following at hand:

  1. CHESSN (Commonwealth Higher Education Student Support Number) if you have one  
  2. Your student number relating to your law degree / Diploma of Law / JD or equivalent.
  3. Your Tax File Number if paying via FEE-Help (student loan)

After completing the online application you will receive a confirmation email of your application – your enrolment is not complete at this stage.

We will email you once your application has been processed and your enrolment confirmed. This email will contain information about orientation, the onsite week and the learning portal.
